Acceptance of Terms

These Terms of Service ("Terms") govern your use of www.4syz.com and any services provided by 4SYZ Infotech Solutions Private Limited, including VISTAR by 4SYZ and Shubhashaya by GiftSyz.

By submitting an enquiry, engaging our services, or placing an order, you agree to be bound by these Terms.

Services Provided

Vistar Nourish: Daily fresh fruit deliveries, pantry management, beverage station restocking, micro kitchen setup and wellness programmes
Vistar Culture: Employee engagement events, festive celebrations, Family Day production, pop-up activations and awards ceremonies
Vistar Core: Stationery procurement, vendor coordination, logistics management and ad-hoc office procurement
GIFTSYZ / Shubhashaya: Corporate hampers, festive gifting, wedding collections, sustainable gifts and custom branded merchandise

Client Engagement

All service engagements commence upon written acceptance of a 4SYZ proposal (email confirmation or signed agreement). By accepting a proposal, you confirm the details provided are accurate, you have authority to enter into this engagement, you will provide reasonable access required for service delivery, and you will appoint a single point of contact (SPOC).

Onboarding SLA: Standard service commencement within 48–72 business hours of proposal acceptance.

Payment Terms

Monthly retainer services: Invoiced on the 1st of each month; due within 15 days. Late payment fee of 1.5% per month applies.
Event services: 50% advance required to confirm booking; balance due within 7 days post-event.
GIFTSYZ orders below ₹50,000: Full payment in advance via NEFT, UPI or bank transfer.
GIFTSYZ orders above ₹50,000: 50% advance; balance before dispatch or as mutually agreed.
GST: Applicable GST charged as a separate line item on all invoices.

Fraud Alert: 4SYZ will never ask you to transfer funds to a new or changed bank account via email or WhatsApp without prior telephone verification. Call +91 98862 07881 to verify before any payment.

GIFTSYZ Order Terms

Minimum Order Quantity (MOQ): Varies by hamper tier and customisation requirements.
Customisation turnaround: Allow 5–10 business days for branded or custom packaging. Rush orders may incur a surcharge.
Delivery: Within Bengaluru: 2–3 business days. Pan-India: 4–7 business days.
Cancellation: Before production: full refund less processing fees. Mid-production: 50% refund. Completed orders: no refund, exchange only.
Damaged goods: Report within 48 hours of delivery with photographic evidence. Replacement arranged at no cost.

Intellectual Property

All content on the 4SYZ website — text, design, logos, graphics, service names (4SYZ, VISTAR, Shubhashaya, GIFTSYZ) — is the exclusive intellectual property of 4SYZ Infotech Solutions Private Limited and protected under Indian copyright and trademark law.

Client logos and brand materials shared with 4SYZ remain the property of the client and will not be used for any purpose other than fulfilling the contracted engagement.

Confidentiality

Both parties agree to keep confidential all non-public business information, pricing, operational details and client lists shared in the course of the engagement. This obligation survives termination of the service relationship for two years.

4SYZ may reference your company name as a client for marketing purposes unless you notify us in writing that you prefer confidentiality.

Limitation of Liability

To the maximum extent permitted by applicable law:

Our total liability for any claim shall not exceed the total fees paid in the 3 months preceding the claim
We are not liable for indirect, consequential, or incidental losses including loss of profit or reputational damage
We are not responsible for delays caused by force majeure events

Termination

By either party: Monthly retainer services may be terminated with 30 days written notice.

By 4SYZ immediately if payment is overdue by more than 30 days, the client engages in abusive conduct, or continuing the engagement would violate applicable law.

Upon termination, all outstanding invoices become immediately payable. Prepaid amounts for services not yet delivered will be refunded on a pro-rata basis within 14 business days.

Governing Law & Disputes

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days.
